Fee: Visual Artist’s BSF (not to exceed): £300 + buyout of £8K as
detailed below – Artist and their agent are aware of, and agree to, the
following prior to attending the Casting Session. The following represents
the main points which will be incorporated in more detailed terms in a
written contract should the artist be chosen: 1. France, Spain, Belgium and
Middle East – Usage of the commercial (including all versions, cut-downs and
parts) on all formats of television (including without limitation,
satellite, analogue, digital, terrestrial, cable, any form of Video on
Demand (VoD), or any form of television now known or hereafter known via any
medium and irrespective of any signal delivery system including without
limitation any and all wireless based technology) for 12 months from [date
of first transmission] [insert other date] . Buyout Fees – £8000 – Buyout
fees will not be paid if Artist does not appear in the final commercial.
Additional territories £2000 per territory (EXCLUDING THE UK) 2. Exclusivity
is required to be granted by the Artist in respect of [client to specify or
state products identical or similar to the Advertiser’s range of products or
services]. 3. The Advertiser and the Agency are irrevocably licensed to use,
and to authorise others to use, at any time(s) in any media worldwide
(whether now or hereafter invented) in perpetuity, any commercial(s) made
hereunder and/or stills and clips from such commercials (the “Works”) and/or
the Artist’s voice and/or likeness: (a) for PR purposes in conjunction with
material publicising the launch or existence of the campaign (for the
avoidance of doubt, the appearance of images of the Artist in the context of
PR announcing the launch of the campaign will not trigger the start of the
first usage period); (b) for editorial comment and review; (c) in media and
advertising festivals/competitions and at trade shows/conferences; (d) in
advertising archive facilities; (e) for promoting the Advertiser’s and the
Agency’s own businesses (including but not limited to social
networking/video sharing internet sites and www.youtube.com); (f) for
internal use by the Advertiser and the Agency (including but not limited to
use on their intranet, internet site(s), at shareholders meetings and
exhibition within their own premises) and (g) for educational usage (by
Advertiser, Agency or third parties). The Works and any of them may also be
used at any time(s) on any Advertiser and/or Agency site on the internet
(whether streamed, for download or otherwise and on any delivery platform
whether now or hereafter invented), and for such purposes the permitted
territory for usage shall be worldwide. The Artist is not entitled to any
additional fees if any TV, radio or other non-internet media owner
broadcasts or makes available any commercial made hereunder (or any part(s)
thereof) over the internet or any other platform in the course of any
simultaneous (or time-delayed) broadcast, transmission or other delivery of
its programming irrespective of signal delivery system. Nothing in this
agreement shall render the Artist an employee, agent or partner of the
Advertiser, the Agency or the Agency Producer for any purpose whatsoever.
The Artist is not entitled to payment for any usage under this clause 3. 4.
The Artist shall have no objection to the Ancillary use of the commercial as
provided for under Clause 15 of the 1991 Agreement. 5. Stills of the Artist
may be required for use in paid-for advertising space, packaging or
point-of-sale material as provided for under Clause 16 of the 1991
Agreement. 6. The Agency, Agency Producer and/or Advertiser shall have the
right to dub the Artist’s voice. 7. Please ensure that the Artist provides
and has available at the casting session, complete and accurate details of
all their engagements in the previous three years, including those
appearances not yet aired. 8. IMPORTANT: Please notify the Agency Producer
immediately if an artist does not consent to the uses referred to above. 9.
The Agency does NOT pay Agent’s fees for television, cinema or radio
commercials. 10. Details of the production and the terms of this casting
brief are confidential. The Artist must not under any circumstances discuss
the above production with the press or any other third party other than
their agent. All enquiries to be directed to Leo Burnett Ltd. 11. In
addition to the Basic or Session Fee payable as set out above (excluding any
usage or rights buyout fees) the Artist will be paid an additional amount of
£64.62 (12.07%) in respect of any statutory entitlement to annual leave
under the Working Time Regulations 1998 (or any other legislation whether in
force in the UK or elsewhere). Due to the short length of the engagement it
is not reasonably practicable for the Artist to take holiday entitlement
which will have accrued by the end of his/her engagement and so s/he will be
paid in lieu of this entitlement. 12. For the avoidance of doubt, the Artist
will be engaged on a self-employed basis and, accordingly, all payments to
Artist will be paid as gross amounts. The Artist will therefore be
responsible for declaring and paying all sums necessary under any
legislation including, without limitation, withholding tax, income tax,
national insurance and social security contributions in the UK and any
similar taxes, duties, deductions elsewhere in the world. Artist will
indemnify the Agency and its client for any claims arising from Artist’s
failure to account (in whole or in part) for his/her NI, income tax etc. If
by law Agency is required to make any deductions, withholdings or payment it
shall be entitled to do so and, if it transpires that any amounts were
required to be withheld for taxation purposes but were not withheld, then
the Artist will on demand indemnify the Client and Agency for such amounts,
including any interest and penalties which may be incurred by reason of the
failure to make such deduction, withholding or payment. For the avoidance of
doubt, where the shoot is to take place in the UK, for Artists who are non
UK tax residents, FEU withholding tax will be deductible by Agency.
